What Process for Limited Liability Partnership Registration in Chennai?

As per the provisions of Section 55 along with Schedule II of LLP Act 2008, a registered partnership firm can convert itself into a Limited Liability Partnership. The entire process of conversion is simple, but there are a few important points that should be kept in mind.

Firstly, the existing partners must ensure that the number of designated partners does not decrease in the process. Secondly, the share of the partners in the capital book should remain the same as it was on the date of the application. Lastly, the new Limited Liability Partnership Registration Process Consultant must obtain an NOC from the owners of the property in which it wants to establish its registered office.

To initiate the process of conversion, a statement containing all the details that were mentioned in the original Partnership Firm's registration certificate is filed with the Registrar. The statement must be signed by all the existing partners. Moreover, all the documents must be notarized (if in India) or apostilled (if in a Commonwealth country).

The Registrar will scrutinize all the documents and then approve the application for conversion into a LLP. Once the Registrar of Companies approves the application, all the necessary documents must be filed. All the Designated Partners must also get themselves a Digital Signature Certificate to file all the e-forms. After successful submission of all the forms, the Registrar will issue an LLP Certificate which shall bear the date on which the conversion was granted.
